Les conventions d'abandon amiable du contrat

L'abandon amiable du contrat est un corollaire de
la force obligatoire des conventions. Déjà admis par le
droit romain sous la forme du contrarius dissensus, il est
largement consacré par les droits étrangers. En France, les
conventions d'abandon amiable du contrat recouvrent le
mutuus dissensus et la transaction-rupture. Elles constituent
une catégorie autonome au sein des actes extinctifs où
elles se distinguent des modes conventionnels de rupture
unilatérale, souvent présentés comme des émanations
de la volonté commune, et des modes de transformation
de l'obligation prévus par l'article 1234 du Code civil,
spécialement de la novation. Par ces deux conventions,
les parties mettent fin à leur accord initial en détruisant le
contrat, soit purement et simplement, soit en modifiant son
contenu pour créer un nouveau contrat qui se substitue à
l'ancien.

The amicable abandonment of the contract is an emanation
of the blinding force of contracts, it always appeared as a secular
principle of the contract law. There are two mechanisms in the
amicable abandonment of the contract : the mutuus dissensus
and the transaction-breach. These two mechanisms differ from
conventional modes of one-sided breach traditionally presented
as common will emanation or the processing methods of the
obligation planned in Article 1234 of Civil code. The mutuus
dissensus and the transaction constitute an independent
category of extinctive act. So, through these processes, the
parties can end their initial will either by destroying the contract,
or by changing one of its essential elements. This last operation
results in a contract substitution by mutuus dissensus or by
transaction-breach.
